Terms & Conditions – ST Promotion LLC

These Terms and Conditions ("Terms") govern your use of the services provided by ST Promotion LLC ("Company," "we," "us," or "our"), located in Montvale, Texas. By engaging our services, you agree to be bound by these Terms.

1. Services

ST Promotion LLC provides digital advertising management services including Google Ads, Facebook and Instagram Ads, LinkedIn Ads campaign management, and consultancy services. The specific scope of services will be outlined in your service agreement or invoice.

2. Payment Terms

All service fees are due in advance unless otherwise agreed in writing. Monthly management fees are billed at the beginning of each billing cycle. Consultancy sessions must be paid in full prior to the session taking place. Ad spend budgets are managed separately and billed directly to your ad platform account.

Invoices are due within 7 days of issuance
Late payments may result in service suspension after 14 days
A late fee of 1.5% per month may be applied to overdue balances
Accepted payment methods include credit/debit card and bank transfer

3. Client Responsibilities

To enable us to perform our services, you agree to:

Provide accurate and complete information about your business and goals
Grant necessary access to your advertising accounts in a timely manner
Ensure all products, services, and landing pages comply with applicable laws and platform policies
Respond to requests for information, approvals, or materials within a reasonable timeframe
Maintain sufficient ad spend budget in your advertising accounts

4. Performance Disclaimer

ST Promotion LLC does not guarantee specific advertising results, including but not limited to return on investment, click-through rates, conversion rates, or revenue. Advertising performance depends on numerous factors beyond our control, including market conditions, competition, and platform algorithm changes. We commit to applying our best professional expertise and efforts on your behalf.

5. Intellectual Property

Any ad creative, copy, or strategy documents created by ST Promotion LLC on your behalf become your property upon full payment of all outstanding invoices. We retain the right to reference our work on your behalf for portfolio and marketing purposes unless you request otherwise in writing.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the service relationship. This obligation survives termination of the service agreement.

7. Termination

Either party may terminate services with 14 days' written notice. Upon termination, you will be invoiced for all services rendered up to the termination date. We will provide a transition document to facilitate continuity of your advertising campaigns.

8. Limitation of Liability

To the maximum extent permitted by law, ST Promotion LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the total fees paid by you in the 3 months preceding the claim.

9. Governing Law

These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Texas, and both parties consent to the jurisdiction of such courts.

10. Changes to These Terms

We reserve the right to update these Terms at any time. Continued use of our services after notification of changes constitutes acceptance of the updated Terms.
